Website Terms of Service
These Terms of Service ("Terms") govern your access to and use of the website at uotech.ai and any related subdomains, services, and content (collectively, the "Site"), operated by UOTech.ai, a division of UOTech.co ("UOTech," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
1. Who These Terms Apply To
These Terms apply to every visitor who accesses the Site, regardless of whether you fill out a form, send us a message, or simply browse. They apply in addition to any other agreement you may have with UOTech. If you are already a client of UOTech.co or UOTech.ai under a signed Master Services Agreement, Statement of Work, or similar written agreement, that agreement governs the services we provide to you. These Terms govern your use of the Site itself.
2. About UOTech
UOTech is a managed technology company headquartered at 100 Terminal Drive, Suite 39, Plainview, New York 11803. UOTech.co provides managed IT services. UOTech.ai provides artificial intelligence services, including workflow automation, AI agents and assistants, data and reporting, AI strategy and consulting, and ongoing AI management. The Site is a marketing and information resource for UOTech.ai. It is not an application, a software product, or a customer portal.
3. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the Effective Date at the top and, where appropriate, post a notice on the Site. Your continued use of the Site after changes take effect means you accept the revised Terms. If you do not agree to the revised Terms, stop using the Site.
4. Eligibility
You must be at least eighteen years old and have the legal capacity to agree to these Terms to use the Site. If you are using the Site on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms, and "you" in these Terms refers to both you and the organization.
5. Permitted Use
We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Site for lawful informational and evaluation purposes, including reviewing our services, reading our content, and submitting inquiries through our contact form. This license does not transfer any ownership rights and may be revoked at any time.
6. Prohibited Conduct
You agree not to:
- Use the Site in any way that violates any applicable law or regulation
- Use the Site to transmit spam, malware, viruses, or any other harmful code
- Attempt to gain unauthorized access to any part of the Site, our servers, or any connected systems
- Probe, scan, or test the vulnerability of the Site or defeat any of its security or authentication measures
- Interfere with or disrupt the operation of the Site, including by sending automated queries, denial-of-service traffic, or similar attacks
- Scrape, harvest, mirror, or otherwise copy substantial portions of the Site using automated tools, bots, or crawlers, except for legitimate search engine indexing that respects our robots.txt directives
- Reverse engineer, decompile, or attempt to extract source code from the Site
- Use the Site or any content on it to train, fine-tune, or evaluate any artificial intelligence or machine learning model, without our prior written permission
- Frame the Site, deep-link to internal assets in a way that misrepresents the source, or embed portions of the Site inside another product or service
- Remove, alter, or obscure any copyright, trademark, or other proprietary notice
- Impersonate any person or entity, or misrepresent your affiliation with UOTech
- Submit false, misleading, or fraudulent information through any form on the Site
- Use the Site in any manner that could damage, disable, overburden, or impair it
We reserve the right to investigate and take appropriate action against anyone who violates this section, including blocking access to the Site and involving law enforcement.
7. Intellectual Property
7.1 Our content
All content on the Site, including text, graphics, logos, icons, images, audio, video, data compilations, software, and the overall look and feel, is owned by UOTech or our licensors and is protected by United States and international copyright, trademark, trade dress, and other intellectual property laws. Except for the limited license granted in Section 5, no rights to the Site or its content are granted to you.
7.2 Trademarks
"UOTech," "UOTech.co," "UOTech.ai," and associated logos, marks, and taglines are trademarks of UOTech. You may not use any UOTech trademark without our prior written permission. Other trademarks, service marks, and logos appearing on the Site are the property of their respective owners.
7.3 Feedback
If you send us feedback, suggestions, ideas, or other input about the Site, our services, or our business ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and incorporate the Feedback for any purpose, without any obligation to you. We are not required to treat Feedback as confidential and may use it freely.
8. Inquiries and Lead Forms
Submitting an inquiry through the contact form, or contacting us by phone or email, does not create a services relationship, consulting engagement, attorney-client relationship, or any other fiduciary or professional relationship between you and UOTech. An engagement begins only when both you and UOTech sign a written agreement that describes the scope, fees, and terms of the work. Until that agreement is signed, nothing discussed between us is binding, and either party may decline to proceed for any reason.

9. No Professional Advice
Content on the Site, including articles, case examples, service descriptions, and blog posts, is general information intended to help you evaluate AI options. It is not professional advice. It is not tailored to your specific business, legal, financial, tax, regulatory, or operational situation. Do not rely on anything on the Site as a substitute for professional advice from a qualified advisor who knows your specific circumstances. If you want advice tailored to your business, contact us and we will discuss whether an engagement makes sense.
10. Third-Party Content, Links, and Services
The Site may link to third-party websites, tools, or services, including our sister brand uotech.co, our social media profiles, and partner or vendor sites. We do not control and are not responsible for the content, policies, availability, or practices of those third parties. Links are provided for convenience and do not imply endorsement. Your use of any third-party site or service is governed by that third party's terms and privacy policy, not ours.
11. Availability and Changes to the Site
We make reasonable efforts to keep the Site available, but we do not guarantee that it will be available at any particular time, free of errors, or compatible with every device or browser. We may change, suspend, or discontinue any feature, page, or portion of the Site at any time, with or without notice, and without liability to you.
12. Disclaimers
THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES ACCESSED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, UOTECH DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that the Site will be uninterrupted, timely, secure, or error-free; that defects will be corrected; that the Site or the servers that make it available are free of viruses or other harmful components; or that any information on the Site is accurate, complete, reliable, current, or suitable for your purpose. Any reliance you place on the Site is strictly at your own risk.
Some jurisdictions do not allow the exclusion of certain warranties. If those laws apply to you, some or all of the above disclaimers may not apply, and you may have additional rights.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, UOTECH, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), AND EVEN IF UOTECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF UOTECH AND ITS AFFILIATES ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages. If those laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.
Nothing in these Terms limits any liability that cannot be limited by applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless UOTech, its affiliates, and its and their officers, directors, employees, contractors, agents, and licensors from and against any and all claims, demands, investigations, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any law or regulation; or (d) your violation of any rights of another person or entity. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.
15. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of New York, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and UOTech agree that any action, claim, or proceeding arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in Nassau County, New York, and you and UOTech consent to the personal jurisdiction of those courts and waive any objection to venue in those courts.
16. Time to Bring a Claim
Any action or claim arising out of or relating to these Terms or your use of the Site must be commenced within one (1) year after the cause of action accrues. Otherwise, the action or claim is permanently barred, except where applicable law requires a longer limitations period that cannot be shortened by agreement.
17. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it will be severed from these Terms. The remaining provisions will remain in full force and effect.
18. No Waiver
Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later. Any waiver must be in writing and signed by an authorized representative of UOTech to be effective.
19. Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. Any attempt to do so without our consent is void. We may assign these Terms at any time without notice to you, including in connection with a merger, acquisition, financing, or sale of assets.
20. Entire Agreement
These Terms, together with our Privacy Policy and any other policy or notice we post on the Site, constitute the entire agreement between you and UOTech regarding your use of the Site and supersede any prior agreements on that subject. These Terms do not supersede or modify any separate written agreement you may have with UOTech for services (such as a Master Services Agreement or Statement of Work), which remain in full effect according to their terms.
